THE FOLLOWING SWEEPSTAKES IS INTENDED FOR PLAY BY INDIVIDUALS RESIDING AND LOCATED IN THE UNITED STATES OF AMERICA (THE “ELIGIBILITY AREA”) AND AS ALLOWED BY AND IN ACCORDANCE WITH APPLICABLE FEDERAL, STATE AND LOCAL LAWS.  YOU MAY NOT ENTER THIS PROMOTION IF YOU ARE NOT LOCATED IN AND A LEGAL RESIDENT OF THE ELIGIBILITY AREA OR IF THIS PROMOTION IS PROHIBITED BY LAW. NO PURCHASE NECESSARY TO ENTER OR WIN. MAKING A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING. ALL DISPUTES WILL BE RESOLVED SOLELY BY BINDING ARBITRATION AND ENTRANTS WAIVE THE ABILITY TO BRING CLAIMS IN A CLASS ACTION FORMAT.

ENTRY IN THIS SWEEPSTAKES CONSTITUTES YOUR ACCEPTANCE OF THESE OFFICIAL RULES (THE “OFFICIAL RULES”).

ABOUT THE PROMOTION: The Love Wellness Taylor Swift Sweepstakes (the “Sweepstakes”) is an online sweepstakes. Entrants (as defined below) who satisfy these Official Rules and successfully submit their email and phone number using the form provided through the link in Sponsor’s (as defined below) Tik Tok and Instagram bios during the Promotion Period (as defined below) will earn one (1) Entry (as defined below) for a chance to win two (2) front-row tickets to the Taylor Swift concert in Denver, Colorado on July 15, 2023 (the “Prize”). Each eligible Entry earned during the Promotion Period has an equal chance of winning the Prize. 

The odds of winning the Prize depend on the number of eligible Entries received. Prize is not redeemable for cash.  Prize may not be assigned, transferred, or resold. 

There is no fee to submit an Entry or participate in the Sweepstakes. In order to participate, Entrants must meet the eligibility requirements set out in Section 2. The Sweepstakes is not a lottery or contest. 

SWEEPSTAKES ENTRY PERIOD: The “Sweepstakes begins at 12:00:01 AM Eastern Time (“ET”) on Tuesday, June 6, 2023 and ends at 11:59:59 PM ET on Tuesday, June 13, 2023 (the “Sweepstakes Period”).

1.  The SPONSOR: 

The Sponsor of the Sweepstakes is Ogilvie Brands, Inc. dba Love Wellness and its assigns, located at 166 Crosby St. Ste. 201 New York, NY 10012 (collectively, “Sponsor” or “Love Wellness”).

2.  ELIGIBILITY: 

2.1    In order to enter the Sweepstakes, Entrants must:  (a) legally reside within the Eligibility Area; (b) be at least 13 years of age at the time they provide their Entry; (c) if they are at least 13 years of age but less than the age of majority in their state of residence at the time they provide their Entry, Entrants must have permission from their parent or guardian to participate in the Sweepstakes; and (d) meet all other requirements described in these Official Rules (each, an “Entrant”).

2.2        Employees, officers, directors, members and representatives of Sponsor, and its respective parent companies, subsidiaries, affiliates, advertising and promotion agencies, and the immediate family members (spouses, parents, children, and siblings and each of their spouses, children and siblings) of Sponsor, and/or those living in the same household of each, are ineligible to participate in or win this Sweepstakes. The Sweepstakes is void outside the Eligibility Area or where prohibited or restricted by law and is subject to all applicable federal, state and local laws and regulations.

3. HOW TO ENTER:

Limit: One (1) Entry per person regardless of whether Entrant has more than one email address. All Entries become the property of the Sponsor and will not be acknowledged or returned.

4.     WINNER SELECTION PROCESS:

4.6 The Prize winner must provide confirmation of his/her/their travel accommodations to attend the Taylor Swift concert by 11:59 PM ET on Monday, June 26, 2023 to the satisfaction of Sponsor, including for example, by providing Sponsor with documentation showing the Prize winner’s travel and/or hotel booking reservations. If the Prize winner cannot attend the concert for any reason, the Prize winner must so notify Sponsor by 11:59 PM ET on Monday, June 26, 2023.  Sponsor reserves the right to award the Prize to an alternate winner, in Sponsor’s sole discretion.

•         Other than where specifically requested, the Entry must not contain Entrant’s name, email address, and phone number;
•         The Entry must be in English.
•         The Entry must not contain material that violates or infringes another’s rights, including, but not limited to, privacy, publicity or intellectual property rights, or that constitutes copyright infringement or trademark infringement; 
•         The Entry must not disparage Love Wellness or any other person or party;
•         The Entry must not include any identifiable information that is not owned by Entrant, such as the name, address, phone number or email address of a third party;
•         The Entry must not contain text, images or artwork not created by Entrant;
•         The Entry must not contain material that Love Wellness deems to be inappropriate, indecent, obscene, hateful, tortuous, defamatory, slanderous or libelous; 
•         The Entry must not contain swear words or other coarse language;
•         The Entry must not contain material that Love Wellness deems to promote bigotry, racism, hatred or harm against any group or individual or to promote discrimination based on race, gender, religion, nationality, disability, sexual orientation or age;
•         The Entry must not include any personal information, name, or likeness, of any person under the age of 13; and
•         The Entry must not contain material that is unlawful, in violation of or contrary to the laws or regulations in any jurisdiction where the Entry is created.

LEGAL WARNING: ANY ATTEMPT BY AN INDIVIDUAL, WHETHER OR NOT AN ENTRANT, TO DAMAGE, DESTROY, TAMPER OR INTERFERE WITH THE OPERATION OF THE SWEEPSTAKES, IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND DILIGENTLY PURSUE ALL REMEDIES AGAINST ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

GOVERNING LAW: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of Entrants, Sponsor or the Released Parties in connection with the Sweepstakes will be governed by and construed in accordance with the internal laws of the State of New York, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other laws.

CLASS ACTION WAIVER AND LIMITATION OF LIABILITY: BY ENTERING THE SWEEPSTAKES, ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (A) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE SWEEPSTAKES, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (B) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED FORTY DOLLARS ($40.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (C) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES NOT TO EXCEED FORTY DOLLARS ($40.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (D) ENTRANTS’ REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF.

DISPUTES AND MANDATORY ARBITRATION AGREEMENT: Entrants, Sponsor and the Released Parties each agree to finally settle all disputes arising out of or related to this Sweepstakes only through arbitration; provided, however, the Released Parties shall be entitled to seek injunctive or equitable relief in the state and federal courts in New York County, New York and any other court with jurisdiction over the parties. In arbitration, there is no judge or jury and review is limited. The arbitrator’s decision and award is final and binding, with limited exceptions, and judgment on the award may be entered in any court with jurisdiction. The parties agree that, except as set forth above, any claim, suit, action or proceeding arising out of or relating to this Sweepstakes shall be resolved solely by binding arbitration before a sole arbitrator under the streamlined Arbitration Rules Procedures of JAMS Inc. (“JAMS”) or any successor to JAMS. In the event JAMS is unwilling or unable to set a hearing date within fourteen (14) days of the filing of a “Demand for Arbitration”, then either party can elect to have the arbitration administered by the American Arbitration Association (“AAA”) or any other mutually agreeable arbitration administration service. If an in-person hearing is required, then it will take place in New York County, New York. The federal or state law that applies to these Official Rules will also apply during the arbitration. Disputes will be arbitrated only on an individual basis and will not be consolidated with any other proceedings that involve any claims or controversy of another party, including any class actions; provided, however, if for any reason any court or arbitrator holds that this restriction is unconscionable or unenforceable, then the agreement to arbitrate doesn’t apply and the dispute must be brought in a court of competent jurisdiction in New York County, New York. Sponsor agrees to pay the administrative and arbitrator’s fees in order to conduct the arbitration (but specifically excluding any travel or other costs of Entrant to attend the arbitration hearing). Either party may, notwithstanding this provision, bring qualifying claims in small claims court.

SEVERABILITY: If any part of these Official Rules are found by a court of competent jurisdiction to be unenforceable, the court will reform the Official Rules to the extent necessary to cure the unenforceable part(s), and the parties will resolve their dispute(s) without reference to or reliance upon the unenforceable part(s).

PRIVACY: As a condition of entering the Sweepstakes, each Entrant gives consent for Sponsor to obtain and deliver his or her name, address and other information to third parties for the purpose of administering this Sweepstakes and to comply with applicable laws, regulations and rules, including, without limitation, the storing of your personal information for purposes of complying with state record retention requirements. Any information Entrant provides to Sponsor may be used to communicate with Entrant in relation to this Sweepstakes or on a Sweepstakes winner’s list.
